Definitions
The following terms shall have the meanings ascribed to them below when used in this Agreement. Capitalized terms not defined here have the meanings given in the Platform Terms of Service.
"Platform"
Refers to the GalaGrid online marketplace accessible at galagrid.app and all associated mobile applications, APIs, and services operated by GalaGrid.
"Supplier" / "Service Provider" / "You"
Any individual, freelancer, sole proprietor, partnership, or registered business entity that has registered an account on the Platform for the purpose of listing, advertising, and offering event-related goods or services to Celebrants.
"Commission"
The platform fee deducted by GalaGrid from each completed Booking transaction processed through the Platform, calculated as a percentage of the total booking amount. The current Commission rate is set out in Section 3.
"Listing"
The Supplier's published profile, service descriptions, pricing, availability, and any associated media content displayed on the Platform to Celebrants and the general public.
"Payout"
The transfer of funds due to the Supplier following the successful completion of an event, after deduction of the applicable Commission, processed to the Supplier's registered bank account or e-wallet.
"Agreement"
These Additional Terms for Suppliers, together with the GalaGrid Platform Terms of Service, the GalaGrid Privacy Policy, and any other policies incorporated herein by reference, all as amended from time to time.
Platform Services
GalaGrid provides a digital marketplace that connects independent event service providers (Suppliers) with event organizers (Celebrants) seeking services for celebrations, corporate events, and other occasions.
- •GalaGrid operates as a marketplace facilitator only. It provides the technology infrastructure, discovery tools, booking management system, and payment processing capabilities that enable Suppliers and Celebrants to transact with one another.
- •GalaGrid is not a party to the service agreement between a Supplier and a Celebrant. Any contractual relationship for the performance of event services exists solely between the Supplier and the Celebrant.
- •GalaGrid does not employ, represent, or guarantee the performance of any Supplier. Suppliers operate as independent contractors or businesses and are solely responsible for the quality, accuracy, and delivery of the services they offer.
- •GalaGrid does not guarantee a minimum number of Bookings, a minimum level of revenue, or any specific volume of customer inquiries to any Supplier.
- •GalaGrid reserves the right to modify, suspend, or discontinue any feature of the Platform at any time, with reasonable notice to Suppliers where such changes materially affect existing Listings or pending Bookings.
Commission & Fees
In consideration for access to the Platform and its services, GalaGrid charges the following fees in connection with Bookings:

- •The 5% Platform Commission is charged to the Supplier and is deducted automatically from the Booking amount prior to Payout. It is not in addition to any amount received from the Celebrant — it is deducted from what the Supplier would otherwise receive.
- •The 5% Service Fee is a separate charge applied to the Celebrant's total payment. It does not reduce the Supplier's declared Booking price and is not shared with the Supplier.
- •Commission is calculated on the total Booking amount as stated in the confirmed Booking, inclusive of any optional add-ons or package upgrades, but exclusive of applicable taxes (e.g., VAT, where applicable).
- •GalaGrid reserves the right to modify Commission rates by providing Suppliers with at least thirty (30) calendar days' written notice via email and in-app notification. Continued use of the Platform following the expiry of the notice period constitutes acceptance of the revised rates.
- •No commission is charged on service agreements arranged and completed entirely outside the Platform. However, Suppliers must not use the Platform as a discovery channel and subsequently arrange transactions off-platform to circumvent Commission obligations — such conduct constitutes a material breach of this Agreement.
Payment Terms
GalaGrid processes Booking payments through its integrated payment infrastructure to provide security and transparency for both Suppliers and Celebrants.
4.1 Payment Processing
- •Payment Partner: All payments on the Platform are processed through GalaGrid's licensed payment partner (Symph Pay / PayMongo). By accepting these Terms, Suppliers also agree to comply with the applicable terms and policies of GalaGrid's payment partner.
- •Payment Collection: Celebrant payments for Bookings are collected by the payment processor at the time of booking confirmation. GalaGrid does not hold client funds directly; all funds are held in escrow by the licensed payment processor.
- •Escrow Period: Payments are held by the payment processor until the event completion date or the agreed release date, as specified in the Booking details. This escrow arrangement protects both Suppliers (guaranteed payment upon delivery) and Celebrants (assurance of service delivery before release).
- •Payout Processing: Supplier Payouts are initiated within five (5) business days following the confirmed event completion date. Business days are counted from Monday to Friday, excluding Philippine public holidays.
- •Payout Destination: Payouts are made to the bank account or registered e-wallet (e.g., GCash, Maya) associated with the Supplier's GalaGrid account. Suppliers are responsible for ensuring that their registered payout details are accurate and up to date.
- •Commission Deduction: The applicable 5% Commission is automatically deducted from the total Booking amount prior to initiating the Payout. The Supplier's net Payout shall equal: [Total Booking Amount] minus [5% Commission].
- •Minimum Payout Threshold: The minimum Payout amount is ₱500.00. Any Payout balance below this threshold will be carried forward and aggregated until the cumulative balance meets or exceeds the minimum threshold.
4.2 Terms Acceptance Requirement for Payment Processing
Acceptance of these Additional Terms for Suppliers is a prerequisite for participation in GalaGrid's payment system. The following rules apply:
- •Soft Block Policy: Suppliers who have not accepted the current version of these Terms will have their payment processing capabilities suspended. The Supplier's Listing will remain visible, but the "Book & Pay" functionality will be disabled.
- •Existing Suppliers (Onboarded Prior to Terms Publication): Suppliers who registered on the Platform before the publication of these Terms will be presented with a mandatory acceptance prompt upon their next login.
- •New Suppliers: All Suppliers registering on the Platform after the effective date of these Terms must accept these Terms as part of the registration process. Registration cannot be completed without acceptance.
- •Acceptance Records: GalaGrid maintains a timestamped, versioned record of each Supplier's Terms acceptance, including the date, time, version, IP address, and device information.
Supplier Obligations
As a condition of accessing and using the Platform, each Supplier agrees to comply with the following obligations. Failure to meet these obligations may result in account restrictions, suspension, or termination.
5.1 Accurate Representation
- •Maintain accurate, complete, and up-to-date information in your Listing, including service descriptions, pricing, availability calendar, portfolio media, and contact details.
- •Ensure that all photographs, videos, and written content in your Listing truthfully represent your actual services and previous work. Use of third-party or stock imagery to misrepresent your own work is strictly prohibited.
- •Promptly update your Listing to reflect any changes in pricing, availability, or service scope that may affect Celebrants' booking decisions.
5.2 Communication Standards
- •Respond to all Booking inquiries from Celebrants within forty-eight (48) hours of receipt, whether accepting, declining, or requesting additional information.
- •Maintain professional and respectful communication with all Celebrants and GalaGrid staff.
- •Notify Celebrants promptly of any changes to confirmed Bookings, including personnel changes, venue modifications, or service adjustments.
5.3 Booking Performance
- •Honor all confirmed Bookings in full and in accordance with the agreed service description, scope, and timeline, unless cancelled pursuant to Section 6 of this Agreement.
- •Provide services of the standard and quality described in the Listing and as reasonably expected in the event services industry.
- •Ensure that all personnel providing services under a Booking meet the qualifications and experience described in the Listing.
5.4 Legal Compliance
- •Comply with all applicable laws and regulations of the Republic of the Philippines, including the Civil Code, the Consumer Act, applicable LGU ordinances, and any industry-specific regulations governing the Supplier's area of service.
- •Maintain all necessary business permits, professional licenses, health and safety certifications, and insurance coverage required for the lawful provision of your services.
- •Ensure that food and catering services comply with applicable food safety and hygiene regulations as required by the Department of Health and relevant Local Government Units.
5.5 Platform Integrity
- •Not attempt to circumvent the Platform's Commission structure by arranging transactions with Celebrants who discovered the Supplier's services through GalaGrid, outside the Platform's booking and payment system.
- •Not post false reviews, engage in rating manipulation, or misrepresent relationships with other users of the Platform.
- •Not use the Platform to advertise or engage in any unlawful activity, discriminatory practices, or conduct that violates the rights of third parties.
Cancellation & Refund Policy
The following cancellation and refund policies govern all Bookings made through the Platform. Suppliers and Celebrants are encouraged to communicate proactively in the event that circumstances affecting a Booking arise.
6.1 Supplier-Initiated Cancellations

6.2 Celebrant-Initiated Cancellations

6.3 General Cancellation Terms
- •All cancellations must be submitted through the Platform's official cancellation process. Cancellations communicated only via direct message, email, or phone — without submission through the Platform — will not be processed.
- •The notice period is calculated from the time the cancellation request is submitted through the Platform, not from any prior verbal or informal notification.
- •In cases of force majeure (e.g., natural disasters, declared states of emergency, death of the Celebrant's immediate family member), either party may request a Booking transfer or rescheduling. GalaGrid will facilitate these requests on a case-by-case basis.
- •Any processing fees charged by the payment processor are non-refundable and are separate from the ₱200 GalaGrid processing fee.
Dispute Resolution
GalaGrid is committed to fostering a trustworthy marketplace. In the event of a dispute arising from a Booking or the use of the Platform, the following process applies:
7.1 Direct Resolution (Step 1)
Disputes between a Supplier and a Celebrant should first be addressed through direct communication. Both parties are encouraged to engage in good faith to resolve issues relating to service delivery, quality, refunds, or other Booking-related matters. GalaGrid's messaging system provides a documented record of communications that may be relevant in subsequent steps.
7.2 GalaGrid Mediation (Step 2)
If a dispute cannot be resolved directly between the parties within seven (7) calendar days, either party may submit a formal mediation request to GalaGrid through the Platform's dispute resolution tool or by emailing support@galagrid.app. GalaGrid will acknowledge mediation requests within two (2) business days and conduct a review of the available evidence. GalaGrid's mediation decision will be communicated to both parties within ten (10) business days of the mediation request being accepted.
7.3 Legal Escalation (Step 3)
For disputes involving amounts in excess of ₱50,000, or where GalaGrid's mediation decision is contested on legal grounds, either party may escalate the matter to the appropriate Philippine court. The parties agree that the venue for all legal proceedings relating to this Agreement shall be the appropriate courts in Tacloban City, Leyte.
Account Suspension & Termination
8.1 Suspension by GalaGrid
GalaGrid may suspend a Supplier's account, either temporarily or permanently, in the following circumstances:
- •Repeated cancellations of confirmed Bookings, particularly those with short notice (less than 7 days prior to event);
- •Sustained low review rating below 3.0 out of 5.0, based on a minimum of five (5) verified Celebrant reviews;
- •Material violation of any provision of this Agreement, including circumventing Platform commissions or misrepresenting services;
- •Any form of fraudulent activity, including identity fraud, payment fraud, or manipulation of the Platform's review or rating system;
- •Receipt of credible and substantiated complaints regarding unsafe, illegal, or discriminatory conduct in the course of service delivery;
- •Failure to maintain required permits, licenses, or legal compliance as required by Section 5.4;
- •Non-acceptance of updated Terms of Service within ninety (90) calendar days of notification.
8.2 Voluntary Account Termination
Suppliers may close their account at any time by submitting a written request to support@galagrid.app. The following conditions apply upon account closure:
- •All confirmed Bookings must be honored or cancelled in accordance with the cancellation policy before an account can be closed.
- •Any outstanding Payout balances will be processed and transferred to the Supplier's registered payout account within fourteen (14) business days of account closure.
- •Closed accounts cannot be reopened. A former Supplier who wishes to return to the Platform must register a new account.
Intellectual Property
You retain full ownership of all intellectual property rights in the Content you upload to the Platform. By publishing a Listing or uploading Content to the Platform, you grant GalaGrid a non-exclusive, royalty-free, worldwide license to:
- •Display, reproduce, and distribute your Content on the Platform for the purpose of operating the marketplace and making your Listing visible to Celebrants;
- •Use your Content in GalaGrid's marketing and promotional materials, including social media, digital advertising, and presentations, for the purpose of promoting the Platform;
- •Create derivative works solely as necessary for technical operation (e.g., resizing images, generating thumbnails).
You represent and warrant that you have all necessary rights to the Content you upload, including any images, text, or media, and that such Content does not infringe the intellectual property rights of any third party.
Indemnification
You agree to indemnify, defend, and hold harmless GalaGrid and its officers, directors, employees, agents, and representatives from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:
- •Your use of the Platform and any services booked through it;
- •Your violation of any provision of this Agreement or the Platform Terms of Service;
- •Any breach of your representations or warranties made in connection with this Agreement;
- •Any claim by a Celebrant arising out of the quality, delivery, or non-delivery of services provided by you;
- •Any infringement of third-party intellectual property rights by Content you upload to the Platform.
Limitation of Liability
To the maximum extent permitted by applicable Philippine law, GalaGrid's total aggregate liability to any Supplier arising out of or in connection with this Agreement or the use of the Platform shall not exceed the greater of (a) the total Commission earned by GalaGrid from that Supplier's transactions during the twelve (12) months preceding the claim, or (b) ₱10,000.
GalaGrid shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of revenue, loss of data, or business interruption, arising out of or in connection with your use of the Platform, even if GalaGrid has been advised of the possibility of such damages.
Modifications
GalaGrid reserves the right to amend, modify, or update these Supplier Terms at any time, subject to the following:
- •GalaGrid will provide Suppliers with at least thirty (30) calendar days' written notice of any material amendments, via email to the registered email address and via in-app notification.
- •Continued use of the Platform following the expiry of the notice period for material amendments constitutes acceptance of the revised Terms.
- •If a Supplier does not accept the revised Terms, they may close their account prior to the effective date, subject to the account closure provisions in Section 8.2.
- •The most current version of these Supplier Terms will always be available at galagrid.app/supplier-terms.
Governing Law
- •These Supplier Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines.
- •The parties irrevocably agree that, subject to the dispute resolution process in Section 7, the appropriate courts in Tacloban City, Leyte shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
- •If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
- •These Supplier Terms, together with the Platform Terms of Service, the Privacy Policy, and any other policies incorporated herein, constitute the entire agreement between you and GalaGrid with respect to your role as a Supplier on the Platform.
