Definitions
The following terms shall have the meanings ascribed to them below when used in these Terms. Defined terms may appear in singular or plural form without altering their meaning.
"Platform"
Refers to the GalaGrid online marketplace accessible at galagrid.app and all associated mobile applications, APIs, and services operated by GalaGrid.
"GalaGrid" / "We" / "Us"
Refers to the company operating the GalaGrid Platform, registered under Philippine law, hereinafter referred to as "GalaGrid."
"Supplier"
Any individual, freelancer, sole proprietor, partnership, or registered business entity that has registered an account on the Platform for the purpose of listing, advertising, and offering event-related goods or services to Celebrants.
"Celebrant"
Any individual or entity that registers on the Platform as an event organizer or client for the purpose of discovering, inquiring about, and booking event services offered by Suppliers.
"Booking"
A confirmed service engagement between a Supplier and a Celebrant, initiated through the Platform and formalized upon receipt of the applicable deposit or full payment as processed through GalaGrid's integrated payment system.
"Service"
Any event-related goods, services, or offerings listed by a Supplier on the Platform, including but not limited to catering, photography, venue rental, entertainment, decoration, coordination, and related event services.
"Account"
The registered user profile created by an individual or entity on the Platform, which provides access to Platform features, Booking management, messaging, and other functionalities.
"Content"
All text, images, photographs, videos, reviews, ratings, messages, and other materials uploaded, posted, or transmitted through the Platform by any user.
"Commission Fee"
The platform fees charged by GalaGrid on completed Booking transactions, comprising a supplier-side commission and a celebrant-side service fee, as detailed in Section 6.2.
"Escrow"
The arrangement whereby Booking payments are held by GalaGrid's licensed payment processor on behalf of both parties until the conditions for release (typically confirmed service delivery) are met.
Acceptance of Terms
By accessing, browsing, or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, the Privacy Policy, and any additional guidelines, policies, or rules posted on the Platform.
- •You must be at least eighteen (18) years of age to create an Account or use the Platform. By registering, you represent and warrant that you meet this age requirement.
- •If you are accessing or using the Platform on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" shall include both the individual and the entity.
- •If you do not agree with any part of these Terms, you must immediately cease using the Platform. Continued use of the Platform following any update to these Terms constitutes your acceptance of such changes.
- •GalaGrid reserves the right to deny access to the Platform to any individual or entity at its sole discretion, including for failure to comply with these Terms.
Account Registration
To access certain features of the Platform, you must create an Account. The following terms apply to Account registration and management:
- •Accurate Information: You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate, current, and complete.
- •One Account Per Person: Each individual or entity may maintain only one Account on the Platform. Creating multiple Accounts for the purpose of circumventing restrictions, manipulating reviews, or otherwise abusing the Platform is strictly prohibited.
- •Credential Responsibility: You are solely responsible for safeguarding your Account credentials, including your password and any authentication tokens. You agree not to share your login credentials with any third party.
- •Unauthorized Access: You must notify GalaGrid immediately at support@galagrid.app upon becoming aware of any unauthorized use of your Account or any other breach of security. GalaGrid shall not be liable for any loss arising from unauthorized access to your Account.
- •Account Responsibility: You are responsible for all activities that occur under your Account, whether or not you have authorized such activities. GalaGrid is not liable for any loss or damage arising from your failure to secure your Account.
User Roles & Responsibilities
4.1 Celebrants
Users who register as or act in the capacity of event organizers ("Celebrants") agree to the following:
- •Truthful Event Details: Provide accurate and complete information regarding event requirements, including date, time, location, guest count, and any specific needs or restrictions, when submitting Booking requests.
- •Honoring Bookings: Honor all confirmed Bookings and fulfill payment obligations in accordance with the agreed schedule. Cancellations are subject to the cancellation policy set out in Section 6.5.
- •Payment Obligations: Make all payments through the Platform's integrated payment system. Payments are due in accordance with the schedule applicable to the relevant payment tier (see Section 6.3).
- •Respectful Communication: Engage professionally and respectfully with Suppliers and GalaGrid staff at all times. Harassment, abusive language, or discriminatory behavior is grounds for Account suspension.
4.2 Suppliers
Users who register as or act in the capacity of service providers ("Suppliers") agree to the following:
- •Accurate Service Listings: Maintain accurate, complete, and up-to-date Listings, including service descriptions, pricing, portfolio media, and availability calendars that truthfully represent the Supplier's actual services and capabilities.
- •Honoring Confirmed Bookings: Fulfill all confirmed Bookings in full and in accordance with the agreed service description, scope, timeline, and quality standards.
- •Quality Standards: Provide services of the quality and standard described in the Listing and as reasonably expected within the event services industry.
- •Legal Compliance: Maintain all necessary business permits, professional licenses, health and safety certifications, and insurance required for the lawful provision of services under applicable Philippine law.
4.3 General Obligations (All Users)
- •No Fraudulent Activity: You shall not engage in any fraudulent, deceptive, or misleading conduct on the Platform, including identity fraud, payment fraud, or misrepresentation of qualifications or services.
- •No Harassment: You shall not harass, threaten, intimidate, stalk, or otherwise engage in behavior that is harmful, abusive, or disruptive to other users or GalaGrid staff.
- •No Spam: You shall not send unsolicited messages, promotional materials, or advertisements through the Platform's messaging system or use the Platform for mass communications unrelated to legitimate Booking activity.
- •No IP Infringement: You shall not upload, post, or transmit any Content that infringes the intellectual property rights of any third party, including copyrights, trademarks, trade secrets, or patents.
Platform Services
GalaGrid provides a digital marketplace that connects Celebrants seeking event services with Suppliers who offer those services. The following terms govern the nature and scope of GalaGrid's role:
- •GalaGrid operates as a marketplace facilitator only. It provides the technology infrastructure, discovery tools, Booking management system, and payment processing capabilities that enable Suppliers and Celebrants to transact with one another.
- •GalaGrid is not a party to the service contract between a Supplier and a Celebrant. Any contractual relationship for the performance of event services exists solely between the Supplier and the Celebrant. GalaGrid's role is limited to facilitating the connection and processing related payments.
- •GalaGrid does not endorse or guarantee any Supplier. GalaGrid does not employ, represent, or guarantee the performance, qualifications, or reliability of any Supplier listed on the Platform. Suppliers operate as independent contractors or businesses.
- •GalaGrid does not guarantee a minimum number of Bookings, a minimum level of revenue, or any specific volume of customer inquiries to any Supplier or Celebrant.
- •GalaGrid reserves the right to modify, suspend, or discontinue any feature of the Platform at any time, with reasonable notice where such changes materially affect existing Bookings or active Listings.
- •GalaGrid may, at its discretion, offer promotional features, featured placement, advertising tools, and other value-added services. The terms governing such additional services will be communicated separately.
Bookings & Payments
6.1 Booking Lifecycle
The standard Booking lifecycle on the Platform follows these steps:
- 1.Request: The Celebrant submits a Booking request to a Supplier through the Platform, including event details, selected services, and preferred date(s).
- 2.Confirmation: The Supplier reviews the request and either accepts, declines, or proposes modifications. A Booking is considered confirmed upon the Supplier's acceptance.
- 3.Payment: Upon confirmation, the Celebrant completes payment in full through the Platform's integrated payment system. The full Booking amount is held in escrow until confirmed service delivery.
- 4.Fulfillment: The Supplier delivers the agreed services on the event date. Upon confirmed delivery, escrowed funds are released to the Supplier.
6.2 Platform Fees

6.3 Escrow Policy
All Booking payments are processed through GalaGrid's licensed payment partner and held in escrow until confirmed service delivery. This arrangement protects both parties: Suppliers receive guaranteed payment, and Celebrants have assurance that funds are only released after the service is delivered.
6.4 Cancellation Policy
Cancellations are subject to the terms set out in the Supplier Terms of Service. In general: cancellations more than 14 days before the event date qualify for a full refund; cancellations within 14 days may be subject to partial or no refund depending on timing. Content & Intellectual Property
7.1 User Content Ownership
You retain full ownership of all intellectual property rights in any Content you upload, post, or transmit through the Platform. GalaGrid does not claim ownership of your Content.
7.2 License Grant to GalaGrid
By uploading or publishing Content on the Platform, you grant GalaGrid a non-exclusive, royalty-free, worldwide, transferable license to:
- •Display, reproduce, and distribute your Content on the Platform for the purpose of operating and improving the marketplace;
- •Use your Content in GalaGrid's marketing and promotional materials, including social media, digital advertising, and presentations, for the purpose of promoting the Platform;
- •Create derivative works of your Content solely as necessary for the technical operation of the Platform (e.g., resizing images, generating thumbnails).
7.3 GalaGrid's Intellectual Property
The Platform, including its design, software, features, logos, trademarks, and any proprietary content created by GalaGrid, is owned by GalaGrid and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works of GalaGrid's intellectual property without prior written consent.
Prohibited Conduct
The following activities are strictly prohibited on the Platform. Violation of any of these provisions may result in immediate Account suspension or termination:
- •Circumventing the Platform: Using the Platform to discover Suppliers or Celebrants and then arranging transactions outside the Platform to avoid Commission fees or other Platform obligations.
- •Off-Platform Transactions: Soliciting or encouraging other users to complete Booking transactions, payments, or communications outside of the Platform for the purpose of circumventing GalaGrid's fees, protections, or dispute resolution mechanisms.
- •Misrepresentation: Providing false, misleading, or inaccurate information in your Account profile, Listings, reviews, or communications, including impersonating another person or entity.
- •Harassment & Abuse: Engaging in harassment, threats, intimidation, discrimination, hate speech, or any behavior that creates a hostile or unsafe environment for other users.
- •Review Manipulation: Posting false reviews, soliciting reviews in exchange for compensation, or engaging in any scheme to artificially inflate or deflate ratings or reviews.
- •Illegal Activity: Using the Platform for any purpose that is unlawful under Philippine law or any applicable jurisdiction, including money laundering, fraud, or the sale of illegal goods or services.
- •Data Scraping: Using automated tools, bots, or scripts to extract data from the Platform without GalaGrid's prior written consent.
- •Security Interference: Attempting to gain unauthorized access to other users' Accounts, GalaGrid's systems, or any data not intended for you, or interfering with the Platform's security or infrastructure.
Dispute Resolution
GalaGrid is committed to maintaining a trustworthy marketplace. In the event of a dispute, the following process applies:
9.1 Report Disputes via Platform
All disputes should be reported through the Platform's dispute resolution tool or by emailing support@galagrid.app. Disputes must be raised within fourteen (14) calendar days of the event date or the date the issue was discovered, whichever is later.
9.2 Direct Resolution
Parties are encouraged to first attempt to resolve disputes directly through good-faith communication. The Platform's messaging system provides a documented record of communications that may be relevant in subsequent steps.
9.3 GalaGrid Mediation
If a dispute cannot be resolved directly within seven (7) calendar days, either party may submit a formal mediation request to GalaGrid. GalaGrid will review evidence, including Booking records and communications, and communicate a decision within ten (10) business days. GalaGrid's mediation decision regarding Platform-related disputes shall be final and binding with respect to Platform operations.
Limitation of Liability
10.1 Service Quality
GalaGrid does not directly provide event services and is not liable for the quality, safety, legality, or suitability of any services offered by Suppliers through the Platform. Celebrants engage Suppliers on the basis of the Supplier's own representations.
10.2 Liability Cap
To the maximum extent permitted by applicable Philippine law, GalaGrid's total aggregate liability to any user arising out of or in connection with these Terms or the use of the Platform, whether in contract, tort, or otherwise, shall not exceed the greater of (a) the total Commission earned by GalaGrid from that user's transactions during the twelve (12) months preceding the claim, or (b) ₱10,000.
10.3 No Consequential Damages
To the fullest extent permitted by law, GalaGrid shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of goodwill, or business interruption, arising out of or in connection with your use of the Platform, even if GalaGrid has been advised of the possibility of such damages.
Privacy
The collection, processing, storage, and use of personal data by GalaGrid is governed by GalaGrid's Privacy Policy, which is incorporated by reference into these Terms.
- •By agreeing to these Terms, you also acknowledge and accept GalaGrid's Privacy Policy.
- •GalaGrid is committed to compliance with Republic Act No. 10173 (the Data Privacy Act of 2012) and its Implementing Rules and Regulations.
- •You have the right to access, correct, and request the deletion of your personal data held by GalaGrid, subject to applicable legal retention requirements.
- •Data privacy requests may be submitted to privacy@galagrid.app.
Role-Specific Supplements
In addition to these Platform Terms of Service, additional terms apply to specific user roles. These supplements provide detailed rules and obligations specific to each role's unique responsibilities on the Platform.
Suppliers
If you register as or act in the capacity of a Supplier, you are also bound by the Additional Terms for Suppliers. These terms cover supplier-specific obligations, commission details, cancellation policies, payment terms, and account management.
- •Role-specific supplements are incorporated by reference into these Terms and form part of the overall agreement between you and GalaGrid.
- •In the event of any conflict between these Platform Terms and a role-specific supplement, the role-specific supplement shall prevail to the extent of the conflict on matters specific to that role.
- •Additional role-specific supplements may be introduced as the Platform evolves. Users will be notified of any new supplements that apply to their role.
Modifications
GalaGrid reserves the right to amend, modify, or update these Terms of Service at any time, subject to the following:
- •GalaGrid will provide users with at least thirty (30) calendar days' written notice of any material amendments, via email to the registered email address and via in-app notification.
- •For non-material amendments (e.g., typographical corrections, clarifications that do not alter substantive provisions), GalaGrid may update the Terms immediately, subject to updating the "Last Updated" date on this page.
- •Continued use of the Platform following the expiry of the notice period for material amendments constitutes your acceptance of the revised Terms.
- •If you do not agree with a material amendment, you may close your Account prior to the effective date of the amendment. Standard terms regarding pending Bookings and outstanding balances still apply.
- •The most current version of these Terms will always be available at galagrid.app/terms.
Governing Law
- •These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of the Philippines.
- •The parties irrevocably agree that, subject to the dispute resolution process in Section 9, the appropriate courts in Cebu City shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
- •If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be amended to the minimum extent necessary to make it valid and enforceable.
- •Any failure by GalaGrid to enforce any provision of these Terms shall not be construed as a waiver of GalaGrid's right to enforce such provision in the future.
- •These Terms, together with the Privacy Policy, role-specific supplements, and any other policies incorporated herein, constitute the entire agreement between you and GalaGrid with respect to your use of the Platform, and supersede all prior agreements, representations, and understandings.
